ESOP – Growth Through Acquisitions


One way that ESOPs or EOTs may grow in value and size, is through the acquisition of companies.  These acquisitions may be bolt on acquisitions that expand existing services in a new geography, or they may be companies that provide a diversification in services and client base as a means to diversify risk of customer concentration.  In many cases the acquired companies may not have considered becoming an Employee Owned Company, but do so as part of the acquisition.  This may help explain why the number of ESOP companies remain relatively constant in the  US, the number of employee owners continues to increase.  See 2025 NCEO Blog on New Data on ESOP Companies Acquiring Non-ESOP Companies.  This post will attempt to aggregate news stories from various sources to help illustrate the acquisition growth aspect of ESOP companies:

February 23, 2026, Catamount acquires Freese Johnson, The move strengthens Catamount’s national platform, expands its operational presence in the Southeast, and enhances its ability to deliver construction solutions across healthcare, commercial, senior living, and student housing sectors. February 20, 2026, Rayser Holdings acquires Skunk River Block & Pallet,  Darlene Van Hall said in a statement that the family selected Rayser Holdings as the buyer because of its commitment to employee ownership and preserving the company’s legacy.  “When we decided to exit the business that we built and nurtured for over 40 years, we chose to work with Rayser Holdings,” Ms. Van Hall said. “We selected Rayser Holdings because we wanted to give back to the employees who helped our family build this business, and we wanted to see its legacy continued.”

February 13, 2026, Nobis Group acquires Northeast Civil Solutions, “We are thrilled to welcome the talented team at Northeast Civil Solutions in Scarborough, Maine into our employee-owned organization at Nobis,” shared Chris Adams, PE, President & CEO of Nobis Group. “Bringing the teams together represents a strong strategic and cultural fit for Nobis. In addition, expanding our footprint allows us to provide multi-disciplinary services to the many loyal clients of NCS in the Southern ME/NH Seacoast area.” This marks the second acquisition in three months for Nobis, having acquired Richard D. Bartlett & Associates, a small land surveying firm in New Hampshire, in December.

February 13, 2026, Aberdeen Dynamics acquires Texas Sealing Distributor, ETS employees will join Aberdeen’s employee-ownership model under the deal; “We are excited to welcome the ETS team into Aberdeen,” Aberdeen Dynamics President Mike Spanier said in a statement. “Their strong reputation in sealing solutions and technical support aligns perfectly with  our commitment to providing customers with reliable, high-value solutions.”

February 12, 2026 an ESOP to ESOP acquisition, Border States to acquire WEDCO, We are excited for this opportunity to expand into Nevada and to do so with such an outstanding company — an ESOP, fueled by a great team of employee-owners” added Jason Seger, President and CEO of Border States. “Our coming together represents a great opportunity for the employee-owners of WEDCO, for customers and for vendors. I’m excited for the success we will deliver together as we combine our network, scale and overall resources with their local relationships and know-how as the most trusted name in the Reno area.”

January 28, 2026, Advanced Turf Solutions acquires Long Island, NYC distributor,  Through the acquisition, customers will have access to ATS’s robust product catalog and benefit from its logistical and technological capabilities, which include the ATS Shop, the company’s new online store.

January 22, 2026, Boyd Engineering transitions to Boone and Boone, The move to Boone & Boone also highlights a key distinction: the company is employee-owned. This structure ensures that decisions remain focused on long-term customer relationships and sustainable growth rather than short-term financial gains.

January 12, 2026, ONEX acquires Upstate Refractory Services, “Upstate’s decision to sell to ONEX reflects a shared belief in long-term thinking and people-centric leadership,” said Patrick Laskey, President and CEO of ONEX, Inc. “This acquisition allows us to grow responsibly while supporting our team and customers who made Upstate what it is today.”  “For our customers, the day-to-day experience doesn’t change,” said Nolan. “The same people, the same standards, and the same commitment to quality remain. What’s new is the added support, resources, and long-term expansion opportunity that come with being part of an employee-owned organization.”

January 12, 2026, Thompson Holding Inc., acquires Sourcetoad, For Sourcetoad, it’s an opportunity to continue scaling up its 60-person firm from its Tampa headquarters while also giving its employees an ownership stake through an employee stock ownership plan, or ESOP. As a parent company, Thompson Holdings also provides corporate services, ESOP governance, and capital investment strategies for its subsidiaries, the release states.

January 8, 2026, SSC CPAs + Advisors merges with Harrison Henderson, For SSC CPAs + Advisors, the partnership supports market expansion and reaches new industry sectors. For Harrison Henderson, the transition to employee ownership will reward employees and maximize future career opportunities.

December 17, 2025, The Resorts Companies acquires Keyholder Vacations,  Both companies share a deep commitment to hospitality and leadership excellence. December 5, 2025 Franklin Building Supply Acquires Snake River Truss and Components Franklin Building Supply (“FBS”), a nearly 50-year-old, 100% employee-owned building materials company, today announced the acquisition of Snake River Truss and Components (“SRT”), a well-established truss manufacturing facility in Idaho Falls. October 31, 2025, IPS Acquires J&R Schugel, Both IPS and JRS are 100% Employee Owned, Dave Gibbs, IPS CEO and chairman, stated in a news release, “Adding JRS to the IPS family expands the capabilities and services that we can jointly provide to our respective customers while also creating new exciting opportunities for our employee owners.”

October 13, Hensel Phelps acquires Transcend, “This acquisition is a unique opportunity to empower our entire organization while undergoing transformational growth,” said Mike Choutka, Chairman and CEO of Hensel Phelps. “By integrating Transcend’s proven leadership platform and expert team, we’re amplifying every aspect of the employee experience and supercharging our strategic vision.”

August 15, 2025, OneCompass acquires Koleaseco,  “Their team and capabilities are a great addition to the Hyway network and will play a key role in speeding up our shared vision for national growth,” OneCompass Chairman and CEO Matt Hartman said in the release. “We’re especially pleased to integrate their people into our employee ownership model, where they can help shape the future and share in the success they contribute to.”

July 28, 2025, Katz, Sapper & Miller, acquires Michael Silver,  “We are excited to welcome MichaelSilver to the KSM family. MichaelSilver was a natural fit for our firm – not just because of its depth of talent and complementary services, but because of our shared culture and values,” said Tim Cook, KSM CEO and president. “Given our existing team of a dozen remote employees and many valued clients in Chicagoland, establishing a dedicated KSM office in the region will further solidify our presence in the Windy City. This move strengthens our relationships, opens the door to new opportunities for growth, talent, and impact, and supports many of KSM’s strategic goals.”   MichaelSilver brings 60 professionals and 14 partners to KSM, including co-managing partners Larry Isaacson and Jennifer A. July 16,2025,  Midwest Molding acquires Thomas Tool & Mold,  Midwest Molding operates as a 100% employee-owned company, while Thomas Tool & Mold brings over 30 years of specialized tooling expertise. Stahl confirmed that all employees will be incorporated into the Employee Stock Ownership Plan (ESOP).  “We have seen a positive buy-in from our employees after becoming an ESOP because they know they are benefiting from the company doing well,” he said. “Employee retention has improved, as well. We have used Thomas Tool for a very long time, so we knew their culture would mesh well with ours.”

July 15, 2025, Vivos Holdings and Nice-Pak to Combine Operations, Vivos Holdings, a portfolio company of Emprise Group, a 100% Employee-owned ESOP holding company has announced it will combine operations with Nice-Pak Products, a global leader in health and wellness wipes. The transaction will create one of the world’s largest private brands and co-manufactured hygiene and personal care companies. “We are thrilled to welcome Nice-Pak to the Emprise family of companies as part of Vivos,” said Koulouris. “This partnership allows us to further diversify our investment portfolio, enhance our existing investments in the health, hygiene and personal care manufacturing sector, and deliver greater value for our customers and employee-owners.”

July 11, 2025, Harps to purchase Janes Super Save Foods,  “We are thrilled to welcome James Super Save Foods into the Harps family,” said Kim Eskew, chairman and CEO of Harps Food Stores. “This acquisition reflects our commitment to expanding our footprint and providing excellent service in communities across the region.” Harps is a 100% employee-owned company that operates 149 stores in six states, including Arkansas. Harps is the largest employee-owned company in the state and was founded by Harvard and Floy Harp in Springdale in 1930.

July 6, 2025, Talbots Law acquires Tinsdills Solicitors, Dave Hodgetts, CEO of Talbots Law said: “Since becoming an Employee-Owned Trust (EOT) in 2021, we’ve been focused on both organic and acquisitive growth to accelerate our presence.  “This deal takes our combined turnover to over £40m turnover and expands our footprint to 19 offices.

July 4, 2025, Ison Harrison acquires Savage Crangle, Ison Harrison Managing Director Jonathan Wearing said: “Our goal has always been to deliver accessible, expert legal support in the heart of local communities. Bringing Savage Crangle into the Ison Harrison family not only expands our geographical footprint but also enriches our offering with their highly respected team.”  Ison Harrison transitioned to employee ownership in 2022 and, since then, has nearly doubled its turnover and opened seven new offices following a string of strategic moves.

July 4, 2025 Darcy Group, transitions to employee ownership via an EOT.  Richard Proctor, group managing director of the Darcy Group, said: “Becoming an Employee Ownership Trust is a proud and emotional milestone.  “This business has always been about the people who make it what it is, and this move is a way to recognise their hard work, commitment, and belief in what we do. I’m genuinely excited for the future, knowing that our team will have a real stake in shaping it and continuing with the values that have always driven the business.”

June 30, 2025, CCI Systems acquires Total Site Services,  Brian Horton, the former CEO of Total Site Services, stated, “Joining forces with CCI Systems marks an exciting new chapter for our team at Total Site Services. This broader customer portfolio creates new opportunities for cross-collaboration and enhanced service delivery.

April 5, 2025, PFS Brands acquires Moser’s foods grocery chain,  PFSbrands uses an employee-owned business model via an employee stock ownership plan.  “Employee ownership means every worker has a voice, and every customer interaction is handled with an owner’s mindset. That’s a powerful shift that leads to exceptional service and a stronger connection with the people we serve,” Burcham said.

April 4, 2025, Associated Architects, transitions to employee ownership via an EOT.  Jukes said: “I am absolutely delighted to announce that we are securing our long-term independence and broadening ownership by becoming an Employee Ownership Trust.  “Our people are our biggest asset, and this move enables us to ensure the company will be run in the long-term interest of our employees and will preserve the culture and values that have been the bedrock of five decades of success.”

April 3, 2025, Coborn’s acquires Kessler’s grocery stores in Aberdeen and Miller.  Coborn’s is an employee owned company and Kessler’s employees will be eligible to participate in the company ESOP becoming themselves beneficial owners of their company.

March 31, 2025, Radiance Technologies acquires Phased n Research. “Radiance invests in people and technologies that move the needle for our customers and our nation,” said Bill Bailey, CEO of Radiance. “By joining forces with Phasedn, we strengthen our ability to provide advanced radar, modeling, and EW solutions while fostering our employee-ownership culture.”

March 28, 2025, OK Tire acquires Brian’s Repair Tire Services,  “Bringing Brian’s Repair and Tire Service into our employee-owned company is a proud moment for OK Tire,” said Dana Sand, President of OK Tire Store, Inc. “Together, our employee owners are committed to delivering the exceptional service and reliability that customers trust, while fostering a culture of doing the right thing and community engagement that defines both our teams.”

February 25, 2025, Iliad Media Group acquires The Montana Radio Company, Darrell Calton, President and CEO of Iliad Media Group, expressed his enthusiasm about the merger, stating, “We are excited to welcome the employees of The Montana Radio Company into the Iliad ESOP family. Our shared values of employee ownership and community-focused broadcasting make this merging of radio cultures so promising.”

February 3, 2025, R&B Wagner acquires Midwest Stairs and Iron, Wagner is committed to sustainability and continuous improvement, providing the highest standards of quality and service. Wagner’s President and CEO, Michael Dover, emphasizes that “I, along with former Midwest Iron owner Howard Wurgler, see a bright future for a combined company within a 100% employee-owned structure to continue offering products of the highest quality to our customers. One of the key points of the acquisition is honoring our joint investment in our employee-owners here in Milwaukee for the fabrication of architectural metal products.”

January 30, 2025, DLR Group Acquires Boston-based Tsoi Kobus Design, he merger ensures the 40-year design legacy and continuity of Tsoi Kobus for its employees and clients, providing the firm with an expanded global platform to influence the next generation of healthcare and life sciences design. The firm will operate as DLR Group | Tsoi Kobus Design in Boston, and the 50 Tsoi Kobus employees will have the opportunity to invest in DLR Group stock and become employee-owners.

January 24, 2025, Empowered Ventures acquires Whitney Brothers, Joining Empowered Ventures reinforces Whitney Brothers’ commitment to quality and innovation. With the acquisition, Whitney Brothers’ employees join the Empowered Ventures ESOP, which owns 100% of Empowered Ventures and its operating companies. Empowered Ventures brings strategic assistance and resources to support Whitney Brothers’ continued growth and success.

January 9, Lampin Corp acquires Monalex Manufacturing, Lampin Corp is a 100% employee-owned company: “This acquisition strengthens our ability to serve customers with unmatched precision and speed while upholding the highest standards of quality,” said John Biagioni, President and CEO of Lampin Corporation. “We’re proud to bring Monalex’s exceptional team and legacy into the Lampin family. November 12, 2024, Varsity Brands, transitions to employee ownership via the KKR shared ownership model.  “Our company’s strength is built on the dedication and passion of our team members. November 11, 2024, AVI Systems to acquire CCS Southeast, “It’s an exciting step to join one of the world’s leading AV systems integrators, AVI Systems,” said Doster. “Our companies have created similar work cultures for employees and we have always focused our attention on providing the best possible service and support to customers. November 9, 2024, Moore Engineering acquires Lytle Water Solutions, The Lakewood team specializes in surface and ground water hydrology and modeling, water rights, environmental permitting, and water mediation assessments. These services complement Moore Engineering’s existing offering of water resources and environmental services and will enhance the expertise the company brings to new and existing clients.

November 6, 2024, Challenge-trg Group, transitions to employee ownership via an EOT.  Commenting on the deal, Elan Iorwerth said: “Tom and Richard have created a successful business model built on the strength of its people, so transferring the company into employee ownership rewards everyone by giving them a direct stake in that success. We fielded a multidisciplinary team to cover the full span of corporate, banking and commercial aspects of the EOT and were pleased to guide Tom and the team in successfully transitioning the business to employee ownership.”

November 2, 2024, Stellar Industries acquires Elliot Machine Works, Brent and Brad Ekin, owners of Elliott Machine Works, shared, “We are thrilled to keep our legacy moving forward with Stellar, a highly esteemed company that shares our values. This partnership is a great cultural fit for our employees, and we’re excited for the new heights we can reach together. October 28, 2024, Rega, transitions to employee ownership via an EOT.  According to Rega’s statement: “On this day, Roy Gandy gifted 100% of his shares (full ownership) of the company to a Trust to protect Rega long into the future. This incredible gesture, of which Roy Gandy receives zero financial gain, has allowed Rega to become an Employee Ownership Trust (EOT). Becoming an EOT has many advantages, however, the main reason is to protect our culture and decades of hard work. Becoming an EOT prevents the company being sold and potential buyouts (by the dreaded investors) whilst providing all staff with job security going forward.”

October 17, 2024, Davey Tree acquires Wise Oak, “Joining the Davey family will also provide our employees with employee-ownership opportunities to make them feel at home. We are committed to treating our clients and employees like family and are excited to join a company that shares the same philosophy,” Mosher adds.

October 4, 2024, Allegiance Retail acquires four Peck’s Markets,  “Peck’s CEO Lee Reimer approached us in the winter of 2023 regarding a possible sale of the four stores after a vote by more than 200 associates at Peck’s,” PSK President and CEO Noah Katz said. “They wanted to sell, but only to a company that would continue to provide a good working environment for its people with the possibility of growth.”  According to the release, Katz was told that Peck’s did not want to sell to a big box chain out of concern that the associates and communities they service would not be cared for in the same manner, and when Reimer presented the opportunity to sell Peck’s to PSK, the vote was a unanimous yes vote.

October 1, 2024, DigiCOPY acquires The Print Shop in Black River Falls, The Print Shop employees will also be integrated into DigiCOPY’s employee stock ownership plan (ESOP) from their first day, with years of service counted toward the ESOP. Integration efforts have already begun, including representation on the DigiCOPY ESOP team and participation in company events.

September 30, 2024, Stewart’s signs agreement to purchase Jolley Associates and SB Collins,  “We are proud of what we have accomplished over the years and we are happy to know that Stewart’s is providing our employees an opportunity to have ownership in the business and will continue to treat them well,” said Bruce Jolley, president and co-founder of Jolley Associates.

August 30, 2024, Masters’ Supply acquires Dal-Rs, “This acquisition is a testament to our strategic growth vision and our commitment to investing in local communities,” said Nathan Wachtel, Executive Vice President & CFO of Masters’ Supply. “Integrating Dal-Rs into our employee-owned structure broadens our market presence and increases shareholder value, creating greater opportunities for all our employee-owners.

August 13, 2024, Axiom Consultants merges with Ruekert & Mielke,  Joining R/M means employees at the Iowa-based firm have now become part of an employee-owned company. This merger not only integrates the two engineering organizations, but also opens up new avenues for career development and professional advancement.  “We are thrilled to join the R/M family,” said Rob Decker, co-owner of Axiom. “This move provides our employees with exciting new prospects and an employee-owned culture that directly aligns their success with the company’s success.”

August 9, 2024, PSK Supermarkets acquires Peck’s Markets, one ESOP purchasing another ESOP. “We wanted to make sure that we would only consider a company to sell the business to if they were going to provide a good working environment for our people with the possibility of growth for the teams,”  Reimer [Peck’s Markets] said.  “We did not want to sell out to a big chain because we were concerned that they would not care about our people or the communities the way we do,” Reimer added.

August 9, 2024, Zink FoodService acquires Rep Concepts, “We are thrilled to have reached an agreement to have Stephanie O’Donoghue [founder of Rep Concepts] and her associates join the Zink team,” says Jim Zink, managing partner of Zink Foodservice, in a statement. “Her organization shares our core values, and most importantly, they will immediately augment our leadership, sales and client support teams in the Illinois and Wisconsin marketplace.”

August 5, 2024, Davy Tree acquires VanCuren Services and Midwest Land Clearing,  “Now that we are with Davey, we are looking forward to seeing how our employees can get involved with employee ownership at Davey and how they can advance in their careers through trainings and promotions,” VanCuren said.  “Our employees are central to our business, and their dedication does not go unnoticed,” said Harold Pierce, co-owner of Midwest.

July 22, 2024 RESA Power acquires PCA Valence RESA Power offers new team members immediate participation in the Employee Ownership Plan (EOP), provided they have reached, or will soon reach, a year of service with the newly acquired company within the current year. 19 July, 2024, Accountor Software, transitions to employee ownership via KKR.

July 16, 2024, Ison Harrison,  Ison Harrison announced this month it had acquired Leeds-based Cohen Cramer Solicitors, a firm of 27 employees and £3m annual turnover. Jonathan Wearing, Ison Harrison managing director, said: ‘By linking up with Cohen Cramer’s specialist lawyers, we are not only expanding our team but also enhancing our ability to serve our clients with a broader and more robust range of legal services.

April 15, 2024, Rapid-Line acquires Studio Wise.  “That’s what led us to the Studio Wise acquisition, a … small company with a very strong brand and a big brand,” Weis said. “We’re achieving our objective by diversifying our … metal components only into a completed restaurant table product.” With the acquisition, Weis expects Rapid Line will help Studio Wise grow significantly over the next few years. Some of the Studio Wise’s outsourced manufacturing may be brought to the Rapid Line facility, but the company’s three in-house employees are staying on.

March 16, 2022, Saalex, Saalex has acquired Netsimco.  “This acquisition is part of a long-term growth strategy we have put in place to significantly grow our business to become one of the largest employee-owned IT services providers in the DoD space,” said Travis Mack, president and CEO of Saalex.  Saalex will operate Netsimco as a wholly owned subsidiary and expects to grow into an organization with $100 million in annual revenue through the transaction. Netsimco operates with more than 180 employees in four states and has seen an annual growth of 20 percent in the past six years.
